SPONSORS: The Sonesta Resorts Sint Maarten’s NYE Gala Giveaway (“Giveaway”) is Sponsored by Sonesta Maho Beach Resort, Spa & Casino and Sonesta Ocean Point Resort (collectively “Sponsors”), owned by the Maho Group, located at Rhine Road #1, Maho Bay, Sint Maarten.

These official rules are the terms and conditions of the giveaway (“Rules”). By entering the Giveaway, you agree to be bound by these Rules and the decisions of the Sponsors (and its authorized representatives) which are final and binding. If you do not agree with any of the Rules, then do not enter the giveaway.

ELIGIBILITY The Giveaway is open to legal residents globally who are 21 years of age or older. Void where prohibited by law. Employees of Sponsors, its affiliates, parent, prize suppliers, judges, advertising, promotion and publicity agencies, and their household and immediate family members, are not eligible to participate in the Giveaway. By entering the Giveaway, each entrant agrees to be bound by these Official Rules and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Sponsors as final and binding as it relates to the content of this Giveaway. Additionally, by participating in the giveaway, each entrant agrees to be bound by these Official Rules and consents to the use of his or her name, city and state of residence, likeness, voice and/or photograph for promotional, advertising and publicity purposes (both online and off-line) related to the giveaway (including promoting, advertising and publicizing the efforts and activities of Sponsors in connection with the Giveaway) without additional compensation, unless prohibited by applicable law. Sponsors reserves the right to verify the eligibility qualifications of the winners, and disqualify entrants who do not meet the eligibility requirements set forth in these Official Rules.

GIVEAWAY PERIOD: The giveaway begins on Monday, December 27, 2021, and will end on Wednesday, December 29, 2021 at 5:00 PM EST (“Submission Period”) followed by the selection of and informing the Winner on Wednesday, December 29, 2021 that evening (“Drawing Date”). All times relating to the giveaway are Eastern Standard Time unless otherwise stated. Sponsors’ server for the giveaway shall be the official time keeping device. ENTRANTS ARE RESPONSIBLE FOR DETERMINING THE CORRESPONDING TIME ZONE IN THEIR RESPECTIVE JURISDICTIONS.

HOW TO ENTER: To enter the giveaway, during the Submission Period, Entrants must:

2. Tag a friend you want to ring in the new year with to do to follow on Facebook and/or Instagram @mahobeachresort or @oceanpointresort
3. Entrants MUST register to enter for a chance to win a pair of tickets to the 2021 Sonesta SXM NYE GALA held on December 31, 2021 at Sonesta Maho Beach Resort, Casino & Spa. One entry per email address is permitted. Multiple entries on same email will not increase chances of winning.

Winner will be selected randomly and announced on Instagram and Facebook on December 29th. Contest is applicable on Instagram and Facebook.

Proof of submission will not be considered as proof of receipt or eligibility.  Any suspected use of cheating, fraud, deception, artifice, multiple identities, devices or IP addresses, or robotic, automatic, bots, programmed or similar or dissimilar methods will void all such entries by such methods and any entrant suspected of using/benefitting from same will be immediately disqualified. Sponsors reserve the right, but without obligation, to request additional or clarifying information from any entrant, in its sole and absolute discretion. You must have an Instagram account in order to enter via Instagram. Instagram is free to join. Your social account must be public. You must have a Facebook account in order to enter via Facebook. Facebook is free to join. Your social account(s) must be public.

WINNER SELECTION: One (1) potential winner will be selected for the Submission Period in a random drawing, on or about the Drawing Date specified above from among all eligible entries received throughout the Submission Period. All non-winning entries received for the Submission Period drawing will not carry over to be considered in subsequent contests or drawings. Odds of winning a prize depend on the number of eligible entries received during the Submission Period, subject to the terms of this Agreement.

WINNER NOTIFICATION: The potential winner will be notified by direct message approximately within three (3) hours at the end of the Drawing Date. The winner may also be publicly announced on Instagram, Facebook, Twitter, LinkedIn and you agree to such publication of your name and account handle by entering the Giveaway.

PRIZE / APPROXIMATE RETAIL VALUE (“ARV”): The Winner selected will receive one (1) pair of tickets (for two adults ages 18+) to the NYE Gala at Sonesta Maho Beach Resort, Casino & Spa. Valid for one night on December 31, 2021 between 7pm until 1am, January 1, 2022.

One winner will be selected from the entrants drawing. Prize will be awarded to the individual and not to a business entity. Winner can only win one prize. No cash equivalent, prize substitution of equal or greater value, or alternative prize will be given except by Sponsors in its sole discretion.

Prize Restrictions: Prize cannot be substituted, assigned, transferred, cannot be applied to an existing purchase or redeemed for cash;  however, Sponsors reserve the right to make equivalent prize substitutions at its sole discretion if any advertised prize (or portion of a prize) becomes unavailable. Winner is responsible for any loss of prize or portion of prize after it has been delivered. Sponsors will not replace any lost or stolen prizes. Any and all applicable federal, state, and local taxes and all fees and expenses related to acceptance and use of prizes not specifically stated herein are the sole responsibility of the prize winner. The ARV of any prize listed is subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules, and the date the prize is awarded or redeemed. If the actual purchase price of a prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash or other form of payment for the price difference.

Prize does not include transportation, parking or other incidentals. Attendance must take place within the certificate’s effective stay date or prize will be forfeited. All fees and expenses (such as security fees, parking, gratuities, additional fees, upgrades, room stays, air travel, ground transportation, and incidental charges) related to acceptance and uses of the stay prizes not specifically stated herein are the sole responsibility of the winner. Major credit card required at check-in to cover any incidental charges. Grand Prize winner and guest must possess valid travel documents (i.e., a valid government-issued photo ID, passport, etc.). Winner and their guests are responsible for reviewing entry requirements (testing or up-to-date vaccination).  No refund or compensation will be made in the event of the cancellation or delay of attendance except at the sole discretion of Sponsors. Subject to the terms and conditions set forth in this Giveaway. Sponsors shall not be responsible for any cancellations, delays, diversions or substitutions or any act or omissions whatsoever by any air carrier(s) or other transportation companies or any other persons providing any of these services to passengers including any results thereof such as changes in services or accommodations necessitated by same.

In the event a Prize winner and/or his/her guest engage(s) in behavior during attendance that (as determined by Sponsors in their sole discretion) is obnoxious or threatening, illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image, and/or customer goodwill of Sponsors or any of Sponsors’ services, products, trademarks, service marks, or logos, Sponsors reserve the right to terminate the visit early, and send that Prize winner and/or his/her guest home with no further obligations or compensation whatsoever to Prize winner and/or his/her guest (which may, in Sponsors’ sole discretion, result in that Prize winner’s disqualification from the Giveaway and forfeiture of any (and/or all) prize(s). In the event a Prize winner or his/her guest engage(s) in behavior during stay that (as determined by Sponsors in their sole discretion) is illegal, tortious, or subjects that Prize winner or his/her guest to arrest or detention, Sponsors shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by Prize winner or his/her guest as a result of such conduct. Returned, undelivered, unclaimed, or un-awarded prizes, or any element thereof will not be (re)awarded. Sponsors shall have the right, where necessary, to undertake all action and/or require further information as is reasonable to protect itself, or any of the other promotion partners against fraudulent or invalid claims, potential public scandal, ridicule, or disrepute in awarding any prize to any winner.

CONDITIONS: By entering the giveaway, you hereby warrant that all the information submitted by you is true, current and complete. The Sponsors reserve the right to ask for, among other things, proof of age and evidence to verify the identity of an entrant at any time, and may carry out checks of any details provided by or on behalf of any entrant.

All entries become the property of the Sponsors and will not be acknowledged or returned.  By entering the giveaway, entrants represent, warrant, and covenant as applicable (and agree to provide written evidence of such if requested) that: entrant has the permission of any person/venue that is identified or otherwise referred to in the entry; the entry was created by entrant specifically for this giveaway and has neither been submitted for any other giveaway or promotion, nor received any prize or monies; the entry is the original creation of the entrant and/or entrant has all title, rights, licenses, permissions and consents necessary to the entry and to submit it into this giveaway and to grant all of the rights granted to the Sponsors in these Rules (and in any written Agreement signed by entrant), and the exercise thereof by the Sponsors and/or the use by it of the rights granted by entrant, in whole or in part, does not and will not give rise to any alleged or actual Liabilities including but not limited to those for disputes or payment of any kind, including without limitation infringement of intellectual property rights, royalties, residuals, attribution, credit, dues, approval or consultation rights, or any rights of participation, attribution, or intentional or negligent infliction of emotional distress, misappropriation, breach of contract, or any other fees, costs, or expenses, arising out of the submission, use, exhibition and/or any other use or exploitation of the entry, in whole and in part, its use by Sponsors, and the exercise by Sponsors of the rights granted in these Official Rules. By entering the giveaway, entrants grant Sponsors the non-exclusive, royalty-free, and irrevocable rights to use, reproduce, copy, publish, display, distribute, perform, translate, adapt, modify, and otherwise exploit the entry, in whole or in part, and to incorporate the entry in other works in any and all markets and media worldwide in perpetuity whether known or hereinafter devised without additional compensation, notification, permission or approval, and entrant hereby waives any moral or other rights they may have in the entry that entrant submits in favor of the Sponsors.  If any entry contains material that is offensive, violent, pornographic, obscene, illegal, inappropriate, harmful or racially or morally offensive or if any entry does not comply with these Rules or meet the Sponsors’ standards for any reason, as determined by the Sponsors in its sole discretion, such entry may be disqualified and ineligible for consideration. Entries must comply with all applicable laws, rules, and regulations. The Sponsors shall have no obligation to copy, publish, display, or otherwise exploit the entry/entrant/Finalist.

In the event of any fault, mistake, misunderstanding or dispute concerning the validity of the information supplied by the entrant, or the operation of any part of the giveaway, the decision of the Sponsors shall be final and no correspondence will be entered into.

USE OF DATA: The Sponsor may collect personal data about entrants in accordance with its privacy policy. Please review the Sponsor’s privacy policy here. By participating in the giveaway, entrants hereby agree to the Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted the Sponsor’s privacy policy.

LIABILITY AND RELEASE: The Sponsors does not accept responsibility for any fault, malfunction, damage, loss or disappointment suffered by any entrant howsoever arising from participating in the giveaway, or from accepting any prize whether due to any error, omission or other cause by the Sponsor, its employees, agents or others to the fullest extent permitted by law.

By entering the giveaway, each entrant agrees for entrant and for entrant’s heirs, executors, and administrators (a) to release and hold harmless the Sponsors and its promotional partners, and their respective subsidiaries, parent, affiliates, directors, officers, employees and agents, and, Instagram and Facebook (collectively, “Released Parties”) from any threatened or actual claims, actions, liability, illness, injury, death, loss, litigation, costs, fees or damages (“Liability”) that may occur, directly or indirectly at any time, whether caused by negligence or not, from such entrant’s participation in the giveaway and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof, and/or participation in any prize related activities; (b) to indemnify Released Parties from any and all Liability resulting or arising from the giveaway and to hereby acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to the giveaway, a Project, or any prize or element thereof; (c) if selected as a Winner to the posting of such winner’s name and/or blog user name/handle on the Sponsors’ websites and the use by Released Parties of such winner’s name, voice, image, and/or likeness for publicity, promotional, and advertising purposes in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission, or approval, and, upon request, to the giving of consent, in writing, to such use; and (d) to be bound by these Rules and to waive any right to claim any ambiguity or error therein or in the giveaway itself, and to be bound by all decisions of the Sponsor, which are binding and final. Failure to comply with any provision in these Rules will result in disqualification from the giveaway at the Sponsor’s sole discretion. Further, to the maximum extent permitted by law, and without limiting the foregoing, entrants and winners agrees to release the Released Parties from and against any and all threatened or actual disputes arising at any time directly or indirectly from any dispute brought by any persons or entities (who may be other than a party to the Rules) arising from or related to an entry, participation and/or involvement in any other respect with the giveaway. To the maximum extent permitted by law, and without limiting the foregoing, entrants and winners covenant not to sue any Released Party or cause them to be sued regarding any matter released above; and further covenant not to disaffirm, limit or rescind this release. A waiver by one or more of the Sponsor of any term in these Official Rules does not constitute a waiver of any other provision.

NON-AFFILIATION: This giveaway is in no way organized, sponsored, endorsed, or associated with Instagram and Facebook.

GOVERNING LAW: THIS GIVEAWAY IS GOVERNED BY THE LAWS OF SINT MAARTEN WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Giveaway, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Giveaway, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Sint Maarten having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Giveaway). Participant further waives all rights to have damages multiplied or increased.
